THE QAPITAL INCENTIVE PROGRAMS ARE VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR WHERE BONDING, REGISTRATION, OR OTHER REQUIREMENTS WOULD BE REQUIRED BUT HAVE NOT BEEN MET, OR WHERE THE METHODS OF PARTICIPATION SET FORTH BELOW WOULD BE DEEMED CONSIDERATION. ALL APPLICABLE FEDERAL, STATE AND LOCAL LAWS APPLY.

Qapital may at times offer users opportunities to earn user incentives (“Rewards”) via an incentive program (“Program”) offered via email, on our mobile application or the web site.  By participating in the Program, you are bound by these Terms unless the specific promotional offer (each an “Offer”) expressly refers to another set of governing terms. By participating in the Rewards, Program or an Offer, you acknowledge to have read the Qapital Terms & Conditions, and accept those terms in full. Those Terms & Conditions are incorporated by reference and are available at https://www.qapital.com/terms/. (Capitalized terms not otherwise defined shall have the meanings set forth in the Terms & Conditions.)

1. Privacy.

The personal information collected, processed and used as part of the Program will be used in accordance with Qapital’s Privacy Policy, which is available for your review at https://www.qapital.com/terms/privacy-policy/.

2. Eligibility.

Employees of Qapital are not eligible for the Program. The Program is subject to change in Qapital’s sole discretion. Qapital reserves the right to modify, restrict, suspend, revoke, or terminate this Program or any Qapital user’s eligibility at any time. The Program is not marketed nor designed for anyone under the age of 18, including children, and Qapital disclaims any and all liability for any children that may be exposed to the Program by a responsible adult or legal guardian. Specific Rewards or Offers may be made available under the Program to individual users, in which case such offers are personal and non-transferrable. Other Rewards or Offers made available under the Program may be available generally to classes of users or to all users, as indicated in the Offers themselves. 

3. How the Program Works Generally.

You may earn a Reward under the Program by clicking through the invitation link provided by Qapital, if any, and completing the required actions detailed in the Offer.  For any given Offer, you may earn the related Reward only once, unless otherwise expressly provided. Any Offer will expire when indicated in the Offer, provided that if no expiration date is provided, the Offer expires 30 days from its issuance. 

4. Promotion Modalities.

Each Program and the applicable Rewards will be subject to the specific restrictions applicable to the promotional event. Qapital will determine the modality of each promotional event under its own discretion but reserves the right to modify it at any time. These restrictions may include, but not be limited to, (i) limited stock of the Rewards, which will not give users any rights to obtain any Rewards once the set quantities have been given out to the qualified users, (ii) limited time availability, which will set a time period during which the Program will be available, and after which users will not be able to obtain any Rewards, (iii) limited quantities per user, which will allow users to obtain a set number of Rewards only, and any attempt to obtain a surplus of Rewards over the set number will be a breach of the Terms, and (iv) action dependent promotions, which may require users to take some actions to qualify for the Rewards offered. These actions may include but are not limited to participation in surveys, providing other feedback on products, services or functionality, sometimes including beta technology (subject to the Qapital Beta Program Terms), social media postings or participation,  among others.

5. Restrictions.

Users cannot refer themselves or create multiple, fictitious or fake accounts in order to accept an Offer multiple times.  Users may not use the Program to violate any law, infringe or violate the rights of any third party, or otherwise act in a manner that is deemed harassing, harmful, illegal, hateful, obscene, malicious, in bad faith or outside the spirit and intent of the Program.  In addition, Users may not (i) tamper with the Program, (ii) act in an unfair or disruptive manner, or (iii) use any system, bot or other device or artifice to participate or receive any benefit in the Program. This includes but is not limited to a general prohibition on posting of Offers or personal links on any website or social media platform, or any other wrongful uses of Qapital Products and Services that may breach its Terms & Conditions.  If we believe that a link or Offer associated with a user account was used in such a manner, we have the right to revoke all Rewards granted to such User and/or terminate that User from receiving the Services. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, THE COMPANY RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

6. Neither Redeemable Nor Transferable.

Unless otherwise stated, Rewards have no monetary value and may not be redeemed for cash.  They are not transferable and may not be auctioned, traded, bartered or sold. Qapital reserves the right to make null and void any Reward that is being transferred to a third-party in violation of these Terms. Qapital will not be liable for any attempt to redeem a Reward that has been obtained through a third-party, whether gratuitously or for monetary gain.

7. Taxes.

If you receive a Reward under the Program, you are responsible for all applicable taxes and fees resulting from it, if any apply.

8. Severability.

If any provision in the Program Terms are held to be invalid, void, or unenforceable, such provision (or the part of it that is making it invalid, void, or unenforceable) will be struck and will not affect the validity of and enforceability of the remaining provisions.

9. Right to Cancel, Modify or Terminate.

We reserve the right to cancel, modify or terminate these Terms or the Program at any time for any reason in our sole discretion. We reserve the right to disqualify any user at any time from participation in the Program if we have a good faith belief that he/she has violated any of these Terms, or the Terms & Conditions of any of Qapital’s Services.

10. Amazon Disclaimer.  

This section applies to any Program, Rewards or Offers involving gift cards or promo codes issued by Amazon.com. Amazon.com is not a sponsor of this promotion. Except as required by law, Amazon.com eGift Cards (“GCs.”) cannot be transferred for value or redeemed for cash. GCs may be used only for purchases of eligible goods on Amazon.com or certain of its affiliated websites.
